Terms of Service

These Terms govern your use of MemoTalk (branded ChatDo outside Korea, the “Service”), operated by JourneyLab (the “Company”), and set out the rights, duties and responsibilities of the Company and users.

1. Purpose

These Terms define the conditions and procedures for using the Service, together with the rights, obligations and responsibilities of the Company and its users.

3. Definitions

  • “Service” means the MemoTalk and ChatDo applications and related web services, on any device.
  • “User” means any member or non-member who uses the Service under these Terms.
  • “Member” means a person who has created an account by providing personal data to the Company.
  • “Credits” means the in-service units purchased to use paid features such as OCR.

4. Effect and amendment of the Terms

These Terms take effect once posted within the Service or otherwise notified to users.

The Company may amend these Terms within the limits of applicable law, announcing the effective date and reasons at least 7 days in advance (30 days for changes unfavourable to users).

Users who do not agree to an amendment may stop using the Service and close their account. Continued use after the notice period is deemed acceptance.

5. Scope of the Service

The Company provides the following:

  • Chat-style note and task capture and management
  • Search, tagging and folder organisation
  • Optical character recognition (OCR) on images
  • Data synchronisation across devices
  • Any additional services developed by the Company or offered through partners

6. Paid features and payment

OCR is free for the first 3 uses; further use requires purchased credits.

Credit purchases are processed through PayPal; payment methods and currency follow what is shown at checkout.

The Company may change credit prices, volumes or the number of free uses with prior notice. Credits already purchased keep the terms applicable at the time of purchase.

Unused credits may be refunded in accordance with the Korean Act on Consumer Protection in Electronic Commerce. Credits already consumed are not refundable.

Refund requests are received at info@memotalk.kr and processed within the period required by applicable law.

7. Accounts

Membership is formed when a user accepts these Terms, completes the sign-up procedure and the Company approves the application.

Users must provide accurate information and keep it up to date.

Users are responsible for safeguarding their account and password, must not allow third-party use, and must notify the Company immediately of any unauthorised access.

8. Withdrawal and restriction of use

Members may close their account at any time in the app settings or by writing to info@memotalk.kr; the Company processes such requests without delay.

On withdrawal, notes and other user data are deleted, except records the Company must retain by law for the prescribed periods.

The Company may restrict use or terminate the agreement after notice if a user breaches these Terms or the law; in urgent cases notice may follow the action.

9. User obligations

Users must not:

  • Misappropriate another person's information or register false information
  • Interfere with the normal operation of the Service
  • Infringe intellectual property or other rights of the Company or third parties
  • Post or transmit content that violates law or public morals
  • Reverse-engineer, copy without authorisation, or scrape the Service by automated means

10. Rights in content

Users retain all rights in the notes, images and other content they enter into the Service.

The Company processes such content only to the minimum extent needed to operate the Service, including synchronisation, backup and troubleshooting.

Rights in the Service itself and in works created by the Company belong to the Company.

11. Changes to and suspension of the Service

The Company may modify, suspend or discontinue all or part of the Service with prior notice.

Service may be interrupted temporarily for maintenance, equipment or network failure, force majeure and similar unavoidable causes.

12. Disclaimers

The Company is not liable where the Service cannot be provided due to force majeure such as natural disaster, war or network outage.

The Company is not liable for disruption or data loss caused by the user, including negligent account management.

The Company does not warrant the accuracy or reliability of information stored by users, nor the accuracy of automated results such as OCR output.

Users are responsible for keeping their own backups of important data.

13. Protection of personal data

The Company protects personal data in accordance with applicable law; details are set out in the Privacy Policy.

14. Governing law and disputes

The Company and users shall make good-faith efforts to resolve any dispute arising from use of the Service.

If no agreement is reached, the laws of the Republic of Korea apply and jurisdiction is determined under the Korean Civil Procedure Act.

Korean law also governs for users outside Korea unless otherwise agreed.

Effective date

These Terms are effective from October 1, 2025.
